Constitution of Chengdu High-tech Medical Association

Chapter 1 General
Article 1 The Chengdu High-tech Medical Association (hereinafter referred to as "Medical Association" or "Our Association"), the English name is Chengdu High-tech Zone Medical Association, abbreviated as CDHTMA. In foreign relations, it is called "Chengdu High-tech Branch of Chinese Medical Association" or "Chengdu High-tech Medical Association".
Article 2 The Medical Association is an academic, non-profit and non-profit legal association of medical science and technology workers voluntarily formed and registered by the Chengdu High-tech Zone. It is a bridge and link between the party and the government to connect medical science and technology workers. An important social force in science and technology and medical undertakings.
Article 3 According to the spirit of the "Articles of the Communist Party of China", "Opinions of the Central Committee of the Communist Party of China on Strengthening and Improving the Work of the Communist Party of the Communist Party" and "Notice on Issuing the 2017 Task List of the Working Committee of the Non-Public Economic Organizations and Social Organizations of the Chengdu Municipal Commission of Chengdu ”Requirements, strengthen the Party ’s leadership over academic societies and medical scientists, and set up a branch committee of the Chinese Communist Party ’s Chengdu High-tech Zone Medical Association. Political leadership and organizations carry out the work of the party. Article 4 Institutional establishment of party organizations
(1) The party branch is mainly established by the party members of the board of directors, with a total of X secretaries and committee members (deputy secretaries of the branch are set up as needed), and the secretary is usually held by the person in charge of the post of secretary or above. After being reported to the Party Committee of the jurisdiction for approval in accordance with the procedure and elected by the Party Congress of the Society, it is responsible for carrying out Party work.
(2) The daily office of the Party branch is set up in the Secretariat of the Society, and do a good job in daily ideological and political work and party building.
(3) Funds for carrying out party building work shall be included in the budget of the society, and shall be paid from the management fees of the society. 5% of the membership fees paid by members shall be used as funds for party building activities.
Article 5 Main functions of the Party branch
While conscientiously implementing the "Party Constitution" and the relevant provisions of the party's grassroots organization construction, it mainly performs the following functions:
(1) Implement the party's line, principles and policies, publicize and implement the resolutions of the Central Committee, the Provincial Party Committee, higher-level party organizations and the organization, and play a political core, ideological guidance and organizational guarantee role in the construction of the society;
(2) To implement the requirements of comprehensive and strict governance of the party, study and deploy party and group work, promote innovation in party building, and organize the development of spiritual civilization, scientific ethics, and academic style;
(3) Cultivate and practice the core values of socialism, carry out ideological and political work in a targeted manner, lead member party members and scientific and technological workers to be brave and responsible in innovative and pioneering actions, and promote the continuous development of various constructions of the society with party building;
(4) Conscientiously perform the main responsibility, strengthen the learning, education and management of member party members by organizing life meetings, "three meetings and one lesson", and condense wisdom and strength to building a strong country with science and technology and an innovative society;
(5) Support the Institute to establish and improve its governance structure and exercise its powers in accordance with the law and regulations;
(6) Participate in and supervise the implementation of the “three important and one big” decisions of the Institute, timely put forward reasonable suggestions, strengthen the construction of the Party's style and clean government, and maintain the Party Constitution, Party Discipline and Party Regulations;
(7) Organize and carry out advanced cultural activities, discover, train and recommend outstanding scientific and technological talents in time;
(8) Study other matters that should be decided by the party branch.
Article 6 The purpose of the Medical Association is to unite and organize the majority of medical science and technology workers in the region, abide by the national constitution, laws and regulations, and implement the national scientific and technological work and health work guidelines. Advocate and practice "rich and strong, democracy, civilization, harmony"; "freedom, equality, justice, rule of law"; "patriotic, dedicated, honest, friendly" and other socialist core values. Abide by social morals, honesty and trustworthiness, abide by the principle of non-profit, and timely disclosure (disclosure registration certificate; organization code; tax registration certificate; charging standards of price department; membership fees and other charging standards discussed and approved by member congress; approved by registration authority Summary of approved articles of association; status of receiving donations and funding; annual work and financial reports; various systems; audit reports on changes in annual or related matters, etc.). The purpose of this association is to uphold medical ethics, promote social integrity, adhere to the principles of democratic society, fully promote academic democracy, improve the professional and technical level of medical science and technology workers, promote the prosperity and development of medical science and technology, and promote the popularization of medical science and technology. The Association will protect the legitimate rights and interests of members and medical science and technology workers in accordance with law. Article 7 The Medical Association accepts the business guidance and supervision of the Chengdu High-tech Zone Primary Governance and Social Services Bureau, the Chengdu High-tech Zone Health Department, the High-tech Zone Science Association and the High-tech Zone Civil Affairs Administration, and accepts the business guidance of the Chinese Medical Association.

Chapter 2 Business Scope
Article 9 The business scope of the Medical Association:
(1) Organize industry surveys, policy and theoretical studies, regularly submit survey reports on the industry (professional or research field) to higher levels of government and relevant departments, and fully reflect the development and existence of the industry (professional or research field) Issues and suggestions to assist the government in social management.
(2) Coordinate the internal and external relations of the society, promote internal and external horizontal economic ties and theoretical exchanges; strengthen cooperation with the industry and promote information exchange and cooperation among members.
(3) To assist the competent government departments to carry out relevant industry standards, qualification review, market access qualification certification, personnel training, project demonstration, Chuangyou compliance assessment and other work, and accept other tasks authorized or entrusted by the competent government departments.
(4) Mediation of internal disputes, safeguarding the legitimate rights and interests of members, reflecting the opinions and requirements of members, and close the harmonious relationship between the society and the government, the society and the members, and the society and the society.
(5) Edit and publish medical academic, information, and popular science materials.

(8) Carry out medical and health science popularization and health education activities in multiple channels and in various forms to improve the people's medical and health knowledge and enhance their self-care ability.
(9) Carry out training and assessment of specialist physicians.
(10) Strengthen the idea of "academic guidance, promote clinical transformation and industrial landing", actively carry out learning and exchange activities, learn new concepts of international advanced technology, biomedical technology, medical and health services, and actively introduce biomedical talents and technologies. Actively cooperate with the health administrative department to guide social capital to organize medical institutions in our district, promote high-tech industries and policies, promote the implementation of industries, and provide corresponding consulting services.
(11) Discover, recommend and reward outstanding medical scientific research achievements, academic papers and popular science works in the district.
(12) Promote and reward medical personnel with noble medical ethics and excellent business. Recognize and reward members who have made outstanding contributions in medical science and technology activities and academic staff who have made outstanding achievements in the work of the society.
(13) Reflect the opinions and requirements of medical science and technology workers to the party and government, and protect the legitimate rights and interests of members and medical science and technology workers according to law.

Chapter 3 Membership
Article 10 The members of the Medical Association are divided into unit members and individual members.
Article 11 Members applying to join the Medical Association must meet the following requirements:
(1) Support the Constitution of the Medical Association;
(2) Willingness to join the Medical Association;
(3) It has a certain influence in the business (industry, discipline) field of the Medical Association;
(4) Individual members:
1. Doctors, teaching assistants, internship researchers, assistant editors, technicians or above with professional technical titles who have graduated from higher medical colleges and are qualified as practicing physicians
2. Those who are engaged in work related to the medical profession and possess the above corresponding professional technical titles.
3. Actively support the work of the association and engage in personnel related to medical treatment, prevention, hygiene, health administration and academic management.
(5) Unit members: all types of medical and health institutions in the district who participate in the collective name.
Article 12 The procedure for membership membership is:
(1) Submit an application for membership;
(2) After discussion and approval by the council, the membership card shall be issued by the council or an agency authorized by the council.
Article 13 Under any of the following circumstances, it is forbidden to develop into a member and hold a position in the medical society:
(1) Incapable of civil conduct or restricting civil conduct;
(2) Those who are being punished or are under criminal enforcement measures;
(3) Being wanted by public security organs or national security organs;
(4) If the organization is deregistered while the non-governmental organization is the main person in charge, it has not been more than 3 years since the unit was deregistered;
(5) Being the person in charge of illegal civil organizations or participating in illegal civil organizations, its backbone personnel have not been more than 5 years since the day when the organization was banned.
(6) Non-Chinese citizens;
(7) Other circumstances stipulated by laws, regulations and policies.
Article 14 Members enjoy the following rights:
(1) The right to vote, the right to be elected and the right to vote of the Medical Association;
(2) Participate in the activities of the Medical Association;
(3) Priority to obtain services from the Medical Association;
(4) The right to criticize and supervise the work of the Medical Association;
(5) Voluntary membership and freedom of withdrawal;
(6) Individual members have priority to participate in the relevant academic activities organized by the Association and the specialist branch where they belong, and preferentially send them to participate in relevant academic conferences. Priority access to the academic materials of the association or the specialist branch.
(7) Group members have priority to send representatives to participate in relevant academic activities organized by the association. Obtain relevant academic materials of the Association. You can ask the association to give technical advice and help organize training courses and academic conferences.
Article 15 Members fulfill the following obligations:
(1) Implement the resolution of the Medical Association;
(2) Safeguard the legitimate rights and interests of the Medical Association;
(3) Complete the work assigned by the Medical Association;
(4) Pay dues in accordance with regulations;
(5) Reflect the situation to the Medical Association and provide relevant materials;
(6) Participate in social welfare activities organized by the Medical Association;
(7) Entrusted to participate in the organization of medical associations to raise funds according to law.
Article 16 Member withdrawal shall notify the Medical Association in writing and shall return the membership card. If a member does not pay membership dues or does not participate in the activities of the medical association for one year, it is deemed to automatically withdraw from the membership.
Article 17 Any member who seriously violates this Constitution shall be delisted if approved by the Council or the Standing Council.
Chapter IV The Formation and Removal of Organizations and Responsible Persons
Article 18 The highest authority of the Medical Association is the member congress, and its powers are:
(1) Formulate and amend the charter;
(2) Election and removal of directors, supervisors, executive directors and chairman (chairman), supervisor, deputy chairman (deputy chairman), through the appointment of the heads of the secretary-general, other executive agencies, branches and representative agencies And dismissal (the middle-level responsible person such as the Secretary-General can be elected or appointed through the procedures stipulated in the articles of association, or can be selected through open recruitment to the community, but this procedure must also be performed after the open recruitment to be appointed);
(3) Review the work report and financial report of the Council;
(4) Decide on the working principles and tasks of the Association;
(5) Passing proposals and resolutions;
(6) Decision to terminate matters;
(7) Decide on other major matters.
Article 19 The member congress is held once a year. Only two-thirds of the member representatives can attend the meeting, and its resolutions can take effect only after more than half of the member representatives present at the meeting have passed the vote.
Article 20 The term of office of the member congress is 5 years. If it needs to be held in advance or postponed due to special circumstances, it must be approved by the Council and approved by the Chengdu Municipal Civil Affairs Bureau after approval by the competent business unit. However, the postponement of the renewal may not exceed one year.
Article 21 The council is the executive body of the member congress. During the intersessional period, it leads the medical association to carry out daily work and is responsible to the member congress.
Article 22 The functions and powers of the council are:
(1) To implement the resolution of the member congress;
(2) Election and removal of the chairman (chairman), deputy chairman (deputy chairman) and other responsible persons, through the appointment or removal of the secretary-general and other executive (branch, representative) agency leaders
(3) Preparing to hold a member representative conference;
(4) Report the work and financial status to the member congress;
(5) Decide on the absorption or removal of members;
(6) Decided to establish office, branch, representative and entity organizations;
(7) Decide on the appointment of the deputy secretary-general and other executive (branch, representative) agency heads;
(8) Leading the work of various institutions of the Medical Association;
(9) Formulate an internal management system;
(10) Decide on other major matters.
Article 23 The board of directors must be attended by more than 2/3 of the directors, and its resolution must be passed by more than 2/3 of the directors of the meeting before it can take effect.
Article 24 The Council meets at least twice a year.
Article 25 The Medical Council shall establish a standing council (when the number of directors is large, a standing council may be established). The standing council is elected by the council and exercises the powers of Article 19, 1, 3, 5, 6, 7, 8, and 9 during the intersessional period of the council, and is responsible to the council (when the number of executive directors does not exceed the number of directors) 1/3).
Article 26 The executive council must be attended by more than 2/3 of the executive directors, and its resolution must be passed by more than 2/3 of the executive directors of the meeting before it can take effect.
Article 27 The Standing Council shall convene a meeting at least half a year.
Article 28 The chairman (chairman), chairman of the board of supervisors, deputy chairman (deputy chairman), secretary general and other executive (branch, representative) heads of medical institutions must meet the following conditions:
(1) Adhere to the party's line, principles, policies and political quality;
(2) It has great influence in the business field of the Medical Association;
(3) The maximum age of the chairman (chairman), supervisor, deputy chairman (deputy chairman) and secretary general is 70 years old, and the secretary general is full-time;
(4) Healthy and able to work normally;
(5) Those who have not received criminal punishment for deprivation of political rights;
(6) Has full civil capacity.
Article 29: Chairman of the Medical Association (Chairman), Chairman of the Board of Supervisors, Vice-Chairman (Vice-Chairman), Secretary-General and other executive (branch, representative) agency leaders ) If you exceed the maximum working age, you must obtain the prior approval of the Chengdu Civil Affairs Bureau and the competent business unit before participating in the election.
Article 30 The term of office of the chairman (chairman), deputy chairman (deputy chairman), secretary general and other executive (branch, representative) institutions of the Medical Association is 5 years. The term of chairman of the board of directors (chairman), chairman of the board of supervisors, vice-chairman (deputy chairman), secretary-general and other executive (branch, representative) agencies shall not exceed two terms.
Article 31 The legal representative of the current medical association shall be the chairman (president) or deputy chairman (deputy president).
Article 32 The Chairman of the Medical Association (President) exercises the following functions and powers:
(1) Convene and preside over the council (or standing council);
(2) Check the implementation of the resolutions of the General Assembly (or Member Representative Assembly) and the Council (or the Standing Council);
(3) Sign relevant important documents on behalf of the Medical Association.
Article 33 The Secretary-General of the Medical Association and the heads of other executive (branch, representative) institutions exercise the following powers:
(1) Formulate the organization's long-term development plan and annual work plan and organize its implementation;
(2) To preside over the daily work of the organization and coordinate internal affairs and external communication of the organization
(3) Nominate the person in charge of this institution to the general meeting of the members, the council and the standing council, and submit to the general meeting of the members, the council or the standing council for appointment and removal
(4) Decided to hire full-time staff of office, representative and entity organizations
(5) Handle other daily affairs.
Article 34 The Board of Supervisors shall establish a board of supervisors with 11 members.
The term of office of a supervisor is the same as that of a director. Upon expiration of the term of office, the term of office of the supervisor may be re-elected.
Article 35 Supervisors are generated or replaced among unit members, individual members, association practitioners or personnel recommended by relevant units. The representatives of employees in the board of supervisors are democratically elected by the employees of the unit.
Association directors, executive directors, association leaders and branch (representative, executive) agency leaders may not concurrently serve as supervisors.
Article 36 The board of supervisors exercises the following powers:
(1) Check the financial affairs of the unit and report to the Chengdu Civil Affairs Bureau;
(2) Supervise the violation of laws, regulations or articles of association of the unit's board of directors, standing council and responsible persons and report to the Chengdu Civil Affairs Bureau;
(3) When the behavior of the board of directors, standing board of directors, directors (chairmen) and other responsible persons of the association damages the interests of the association, it shall be required to correct it and report to the Chengdu Municipal Civil Affairs Bureau;
(4) The board of supervisors shall report to the Chengdu Municipal Civil Affairs Bureau in writing in the form of a written report on the supervision of the establishment of the institution ’s democratic system, self-discipline and integrity, financial capital management, and the implementation of the matters listed in Article 25 of the Constitution.
Supervisors attend the meetings of members (member representatives), councils, standing councils and important administrative meetings of the association.
Article 37 The board of supervisors shall have one chairman of the board of supervisors, and the board of supervisors shall implement a system of one person and one vote. The resolution of the board of supervisors must be passed by more than half of all the supervisors to be valid.
Article 38 This unit establishes a system for requesting and reporting major events. If any of the following matters is involved, it must be reported to the Chengdu Civil Affairs Bureau and the competent business unit in advance (middle and later):
(1) Accepting donations from overseas (internal) and external;
(2) Emergencies, accidents or problems occur;
(3) Matters involving the vital interests of employees and social stability;
(4) Being notified, investigated and punished by relevant government departments;
(5) Organizing and holding cross-regional academic exchanges, (seminars), forum activities, promotion, exhibitions
(6) Organizing outbound inspections and exchanges;
(7) The change of the council;
(8) Other major issues that require a report.
Chapter V Principles of Asset Management and Use
Article 39 Sources of funding for the Medical Association:
(1) Membership fees;
(2) Donation;
(3) Government funding;
(4) Income from activities or services carried out within the approved business scope;
(5) Interest;
(6) Other legal income.
Article 40 The Medical Association collects membership dues in accordance with relevant state regulations. The membership fee is:
(1) 160 yuan / year for individual members (participation fee reduction for participation in public continuing education in the district);
(2) Unit members:
1. Individual clinics and medical offices pay membership fees no less than 200 yuan / year;
2. The community health service station pays an annual membership fee of not less than 500 yuan / year;
3. The outpatient department and the inspection office shall pay the membership fee no less than 2000 yuan / year;
4. The community health service center pays membership dues no less than 3,000 yuan / year;
5. Hospital:
The annual membership fee for 20-99 beds is not less than 3,000 yuan;
The annual payment of 100-200 beds is not less than 5,000 yuan;
201-299 beds or more should pay an annual membership fee of not less than 8,000 yuan;
The annual membership fee of 300-499 beds or more shall be no less than 10,000 yuan;
The annual membership fee of more than 500 beds is not less than 20,000 yuan.

Article 41 All the income of the medical association shall be used for the public welfare or non-profit undertakings registered or approved in the articles of association, except for the reasonable expenditures related to the medical association.
Article 42 The Medical Association shall establish a strict financial management system to ensure that the accounting information is legal, true, accurate and complete. Depending on the situation and report to the competent business unit for approval, an accounting firm with the financial management qualification of a social organization may be entrusted for management.
Article 43 The Medical Association is equipped with professionally qualified accountants. Accounting should not act as cashier. Accountants must carry out accounting and carry out accounting supervision. When the accountant transfers to work or resigns, he must go through the handover procedures with the receiver.
Article 44 The Medical Association implements the “Accounting System for Private Non-Profit Organizations”, and assets and financial management are subject to the supervision of the General Assembly of Members (or Member Representative Assembly) and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of the auditing agency and publicize the relevant information to the society in an appropriate manner.
Article 45 Before changing the term or changing the legal representative, the medical association must accept the financial audit organized by the association registration management organ.
Article 46 No unit or individual may occupy, privately divide or embezzle the assets of the Medical Association.
Article 47 The monthly average salary of the full-time staff employed by the Medical Association shall not exceed twice the per capita salary of the place where the tax was registered in the previous year, and the insurance and welfare benefits of the staff shall be implemented in accordance with relevant state regulations.
Chapter VI Amendment Procedures
Article 48 Amendments to the constitution of the Medical Association shall be valid only after being reviewed by the Council and submitted to the General Assembly (or Member Representative Assembly) for approval.
Article 49 The constitution amended by the Medical Association must be submitted to the club registration and management authority for approval within 15 days after it is approved by the general assembly (or member representative assembly).
Chapter VII Termination Procedures and Disposal of Property After Termination
Article 50 If the Medical Association fulfills its purpose or dissolves itself or needs to be cancelled due to division, merger, etc., the Council or the Standing Council shall propose a termination motion.
Article 51 The motion to terminate the Medical Association must be approved by the General Assembly (or Member Representative Assembly).
Article 52 Before the termination of the Medical Association, it is necessary to establish a liquidation organization under the guidance of the Chengdu Civil Affairs Bureau and the business management unit of the registration management organ to clear the creditor's rights and debts and handle the aftermath. During the liquidation, not to carry out activities other than liquidation.
Article 53 The medical association shall be terminated after it has gone through the procedures for cancellation of registration through the organization registration management organ.
Article 54 The remaining property after the termination of the Medical Association is used for public welfare or non-profit purposes, or it is transferred to an organization with the same nature and purpose as the organization by the registration management organ and announced to the public.
Chapter VIII Supplementary Provisions
Article 55 The interpretation of this constitution belongs to the Council of the Medical Association.
Article 56 The articles of association shall come into effect on the date of approval by the association registration management authority.
